  • “Membership”: The subscription that allows Customers to access and purchase goods on Worndirect.co.uk.
  • “Revenue”: The total sales amount generated by the Partner Vendor through Worndirect.co.uk.

2. Responsibilities of Partner Vendors

Partner Vendors agree to:

  1. Upload a Profile: Create and maintain an accurate profile on Worndirect.co.uk.
  2. Set Pricing Policies: Determine and manage their own pricing for goods sold on the platform.
  3. Supply and Sell Goods: Ensure the quality, availability, and delivery of goods to Customers.
  4. Customer Communication: Handle all direct communications with Customers, including queries and concerns.
  5. Delivery Arrangements: Organize the delivery of sold items to Customers promptly and efficiently.
  6. Returns Handling: Manage any returns or exchanges in accordance with their own return policies.
  7. Tax Compliance: Pay any applicable UK Tax and VAT due to HMRC on revenue generated through Worndirect.co.uk.
  8. Insurance: Arrange any third-party insurance as required for their operations.

3. Responsibilities of Worndirect.co.uk

Worndirect.co.uk agrees to:

  1. Website Maintenance: Maintain and operate the Worndirect.co.uk platform to facilitate transactions.
  2. Revenue Collection: Collect payments from Customers for items sold by Partner Vendors.
  3. Revenue Disbursement: Transfer 80% of the Partner Vendor’s weekly revenue to their designated bank account.
  4. Customer Complaints: Handle any complaints raised by Customers and mediate where necessary.

4. Membership Requirements for Customers

  1. Customers must be members of Worndirect.co.uk to purchase goods.
  2. Membership fees are non-refundable unless otherwise specified.
  3. Customers are responsible for providing accurate personal and payment information.

5. Payment Terms

  1. Partner Vendors will pay:
    • A monthly subscription fee to use Worndirect.co.uk.
    • A 20% commission on all revenue generated through the platform.
  2. Revenue pay-outs to Partner Vendors will occur weekly, minus the 20% commission.
  3. Worndirect.co.uk reserves the right to withhold payments in cases of suspected fraud, disputes, or non-compliance with these terms.

6. Liability

  1. Worndirect.co.uk acts solely as a platform facilitator and is not liable for:
    • The quality, safety, or legality of goods sold by Partner Vendors.
    • Disputes between Customers and Partner Vendors.
  2. Partner Vendors are solely responsible for their goods and compliance with all applicable laws and regulations.

7. Termination

  1. Worndirect.co.uk reserves the right to terminate access to the platform for any Partner Vendor or Customer who breaches these terms.
  2. Partner Vendors may terminate their subscription with 30 days’ written notice.
  3. Upon termination, any outstanding payments or obligations must be settled immediately.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.


9. Amendments

Worndirect.co.uk reserves the right to amend these terms and conditions at any time. Notifications of changes will be posted on the platform. Continued use of the platform constitutes acceptance of the updated terms.

Bally’s Notes

Worndirect.co.uk is an online business in the UK that allows third party partner vendors to pay a monthly subscription and 20% on any revenue the vendor generates to enable the vendor to use Worndirect.co.uk. The Customer has to be a member of Worndirect.co.uk.

The partner vendor has the following responsibilities

Upload their own profile

Set their own pricing policy

Supply and sell their own goods.

Communicate directly with the customer

Arrange delivery to the customer of the item they have sold

Deal with any returns.

Be responsible for any UK Tax and VAT that is owned to HMRC from revenue they have generated.

Arrange any third-party Insurance if applicable

Worndirect.co.uk has the following responsibilities

Maintain and run the website Worndirect.co.uk

Collect payments for all items sold by Partner Vendors

Pay weekly 80% of all the revenue generated by the Partner Vendor to a designated bank account of the Partner Vendor

Handle any complaints made by the customer
